Reservation of Rights: Puresyn, Inc. (“Puresyn”) reserves all right, title and interest in and to its proprietary materials and technology, and to all progeny, improvements and derivatives thereof (“Materials”), and all trademarks, trade names, good will, copyrights, patents, patentable inventions, know-how, trade secrets and other intellectual property associated therewith. Customers retain ownership of their plasmid, both as submitted for processing and as delivered when processing specifications have been met. Puresyn reserves the right to use or discard process materials that are not deliverable by reason of not meeting production release specifications.
No Reverse Engineering: Customer agrees not to reverse engineer, analyze, decompile or disassemble any Puresyn Materials, and not to permit any third party to do so.
Use Limitations: Puresyn deliverables are intended for non-commercial and research uses only and may not be administered to humans.
Certain Confidential Information. The processes and procedures according to which Puresyn produces custom purified plasmids, including without limitation summaries thereof and all related data, records and notebooks, are proprietary and confidential to Puresyn and may not be disclosed to third parties except pursuant to Puresyn’s express written consent.
Warranty Disclaimer: Unless otherwise expressly agreed by Puresyn in writing: Materials and services delivered do not conform to GMP standards; Customer is responsible for any post-delivery testing required to assure absence of contamination applicable to Customer’s intended use; PURESYN DISCLAIMS ALL WARRANTIES, EXPRESSE OR IMPLIED, INCLUDING WITHOUT LIMITATION THOSE OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR RESULTS.
Limitation of Liability: Puresyn shall not be liable for consequential or punitive damages in connection with delivery of Materials or performance of services, even if advised in advance of the likelihood thereof.
US Export Restrictions: Customer shall comply with all US and international regulations governing the export of Materials
